How We Work
What PE Firms Leave on the Table During a Carveout
Pre-Close
Phase 1
We assess infrastructure, credentials, and configurations across systems including cloud productivity, identity, endpoint management, and network. We build the user migration list, document SaaS vendors and application dependencies, and develop the migration and communications plan. You receive a detailed project schedule, user migration spreadsheet, software and vendor inventory, and a full migration and communications plan.
Phase 2
We build the new cloud environment, configure the email and collaboration tenant, deploy endpoint management following CIS baselines, migrate mailboxes and file storage, set up the security stack, migrate SSO for business applications, and configure networking. You receive as-built cloud and network diagrams, MFA enrollment and endpoint configuration guides, and end-user change management documentation.
Phase 3
We execute staged workstation migration in coordinated waves, cut over email and phone systems, finalize file storage and collaboration tools, and provide end-user training and helpdesk support through stabilization. You receive a final migration report, change communications, workstation and mobile device migration instructions, and phone and MFA setup guides.

Carveout Advisory Capability
Transaction management office
We design and staff the governance structure the situation requires, whether that's an Integration Management Office, Separation Management Office, or Divestiture Management Office, keeping the program aligned to deal parameters and TSA requirements throughout
Integration and separation planning
We scope the full separation or integration, align activities to TSA timing, and ensure both sides of the transaction are ready to execute.
Stranded cost analysis
We identify strategic areas to address stranded costs after separation, run vendor cost recovery programs, and inform budgets and forecasting for the executive team.
