How We Work

Most IT separation partners show up after the deal closes, when the TSA clock is ticking, dependencies are under documented, and the budget is already at risk. We support clients through the full carveout lifecycle, from diligence and pre-close planning to TSA negotiationstechnical execution of the separation, and post-separation managed services.

We cover the entire carveout as a single, integrated team. The same people who plan the separation run it: one plan, shared accountability, executed by a team that’s worked together before. 

We build infrastructure for the hold period. We design the technology environment to enable independent PortCo operations on Day 1 and execute the investment thesis over the next four or five years.  

You gain mature IT operations in weeks, not years. We deliver 24/7 support, proven processes, and security tooling ready for Day 1 instead of leaving you to build that capability internally over two years. We've done this across PortCos ranging from 200 to 40,000 users, and every carveout has strengthened the tooling, automation, and processes we bring to the next one. 

Internal IT stays focused on the business. While we handle migration logistics, cutover coordination, and TSA management, the internal IT team stays focused on the operational applications, systems, and priorities that run the business.

What PE Firms Leave on the Table During a Carveout

Pre-Close

We join the diligence team to assess the IT environment, identify parent dependencies, quantify one-time separation costs, and surface technical debt before the deal closes. You receive an IT risk assessment, a carveout cost estimate, and TSA scope recommendations before you sign.

Phase 1 

We assess infrastructure, credentials, and configurations across systems including cloud productivity, identity, endpoint management, and network. We build the user migration list, document SaaS vendors and application dependencies, and develop the migration and communications plan. You receive a detailed project schedule, user migration spreadsheet, software and vendor inventory, and a full migration and communications plan.

Phase 2 

We build the new cloud environment, configure the email and collaboration tenant, deploy endpoint management following CIS baselines, migrate mailboxes and file storage, set up the security stack, migrate SSO for business applications, and configure networking. You receive as-built cloud and network diagrams, MFA enrollment and endpoint configuration guides, and end-user change management documentation. 

Phase 3 

We execute staged workstation migration in coordinated waves, cut over email and phone systems, finalize file storage and collaboration tools, and provide end-user training and helpdesk support through stabilization. You receive a final migration report, change communications, workstation and mobile device migration instructions, and phone and MFA setup guides. 

Ongoing: Post-TSA Exit

We stay on as MSP. 24/7 monitoring and support, security operations, device management, vendor management, software licensing, and quarterly business reviews. You receive a client success manager, monthly performance reporting, and a technology roadmap aligned to the investment thesis. When the next acquisition comes, IT is never the reason the deal slows down.
